In one paragraph

Copart (CPRT) agreed on September 10, 2026 to buy ACV Auctions for $10.50 per share in cash, about $1.9 billion in total. Instead of a shareholder vote, Copart launched a tender offer on September 17: shareholders are asked to hand in (“tender”) their shares through their broker. The offer was due to expire on September 30, was extended to October 7 and then to October 15, 2026 at 5:00 p.m. Eastern Time. By October 7, holders of 52.84% of the shares had already tendered. The remaining condition that matters most is antitrust clearance under the Hart-Scott-Rodino (HSR) Act.

What can I do if I own ACVA shares?

1. Tender your shares

Ask your broker to tender them before its own deadline, which is usually a day or two before Oct 15. If the offer closes, you receive $10.50 per share in cash shortly after. Tendered shares can normally be withdrawn while the offer is open.

2. Sell on the market

You get the market price today, usually a little below $10.50 (that gap is the spread shown above). You give up the last few cents in exchange for certainty and cash now.

3. Do nothing

If the offer closes, Copart completes a second-step merger (Delaware Section 251(h), no vote needed) and your shares are converted into the right to receive the same $10.50 in cash, typically later than tendered shares. If the deal fails, you keep your shares.

This is general information, not advice. Taxes: a cash buyout is generally treated like a sale of your shares; check your own situation.

Frequently asked questions

Is $10.50 the final price?
It is the agreed price. Copart could raise it, but nothing in the filings suggests that.
Will ACVA keep trading?
Until the deal closes, yes. After the merger the shares are delisted and ACV becomes a Copart subsidiary.
Why is the market price below $10.50?
Waiting time and the small risk that the deal fails. The closer and safer the closing, the smaller the gap.
Where can I check the official documents?
On SEC EDGAR, linked below. They prevail over anything on this page.
